1. Services

xauracode.com, operated by Abhay Rajput (hereinafter "we", "us", or "xauracode"), offers the following freelance and agency services:

• Website Design & Development (static, WordPress, React, Next.js)
• UI / UX Design (Figma, Photoshop, Illustrator)
• Logo & Brand Identity Design
• CRM Development & Custom Dashboards
• AI Automation & LLM Integration
• SEO Audit Tools & Platforms
• Chatbot Development (Web, WhatsApp, Telegram)
• Maintenance, Support & Performance Optimization

The exact scope of services for each project is defined in a separate project proposal or agreement shared via email before work begins.

2. Project Agreement & Scope

All projects begin with a clearly defined scope of work. Any features, pages, or deliverables not explicitly mentioned in the project proposal are considered out of scope.

• The client is responsible for providing all required content (text, images, logos, credentials) in a timely manner.
• Delays caused by late content delivery from the client do not constitute a breach on our part.
• Work commences only after the project proposal is accepted and the advance payment is received.

3. Payment Terms

Payment can be made via UPI, Bank Transfer, or any mutually agreed method. All prices are in INR (Indian Rupees) unless otherwise stated.

• Invoices are due within 7 days of issuance unless otherwise agreed.
• Late payments beyond 14 days may result in work suspension or a late fee of 2% per week.
• All payments are non-refundable once the corresponding phase of work has been delivered and approved.
• For international clients, payments may be accepted in USD. Bank/conversion charges are borne by the client.

4. Revisions & Changes

Each project includes a defined number of revision rounds as specified in the project proposal. Standard inclusions:

• Design Projects: Up to 3 revision rounds per deliverable
• Web Development Projects: Up to 2 revision rounds post-delivery
• AI / Automation Projects: Up to 2 rounds of functional adjustments

Additional revisions beyond the agreed rounds are billed separately at an hourly rate. A revision is defined as minor adjustments — complete redesigns or feature additions are treated as new scope.

5. Intellectual Property

Upon receipt of full and final payment, ownership of the delivered work (designs, code, content) is transferred to the client, with the following exceptions:

• xauracode retains the right to showcase the completed project in its portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing.
• Any third-party assets (stock images, fonts, libraries, plugins) are subject to their respective licenses. The client is responsible for ensuring proper licensing for continued use.
• Pre-existing frameworks, boilerplates, or code libraries developed by xauracode remain our intellectual property. A non-exclusive license to use them in the delivered project is granted to the client.
• If full payment is not received, xauracode retains all rights to the work and the client may not use, publish, or reproduce any part of the deliverables.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project, including but not limited to business strategies, credentials, pricing, client data, and unpublished content.

xauracode will not share, sell, or disclose client information to any third party without prior written consent, except where required by law.

7. Timelines & Delays

Project timelines are estimated at the start of each engagement. Delivery schedules are dependent on:

• Timely provision of content, feedback, and approvals from the client
• Scope remaining unchanged from the original agreement
• Payment milestones being met on schedule

xauracode will communicate any expected delays proactively. We are not liable for delays caused by the client, third-party services, hosting providers, or events beyond our reasonable control.

8. Limitation of Liability

xauracode's total liability for any claim arising from services rendered shall not exceed the total amount paid by the client for the specific project in question.

We are not liable for:

• Loss of revenue, data, business, or goodwill resulting from the use or inability to use our deliverables
• Third-party service outages (hosting, APIs, CDNs, email providers)
• Security breaches caused by the client's negligence or third-party vulnerabilities
• SEO ranking changes or traffic fluctuations
• Any content provided by the client that infringes third-party rights

9. Termination

Either party may terminate a project with 7 days written notice via email. Upon termination:

• The client is liable to pay for all work completed up to the termination date.
• The advance payment is non-refundable.
• Any partially completed work will be delivered only upon receipt of payment for work done.
• xauracode reserves the right to immediately terminate a project if the client engages in abusive, threatening, or unethical conduct.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Delhi NCR, India.

Both parties agree to attempt to resolve any disputes amicably through direct communication before pursuing legal action.

11. Website Use

By using xauracode.com, you agree to:

• Not attempt to hack, scrape excessively, or otherwise damage the website or its infrastructure.
• Not misrepresent your identity or intent when submitting contact forms.
• Not reproduce, redistribute, or commercially use any content from this website without written permission.

We reserve the right to update this website's content, pricing, and service offerings at any time without prior notice.
